Terms of Service

Effective date: October 4, 2026

These Terms of Service ("Terms") are an agreement between you and Thinkfleet AI, LLC, a North Carolina limited liability company doing business as Base316 ("Base316", "we", "us"). They govern your use of the Base316 websites, dashboard, APIs, SDKs, hosted pages and related services (together, the "Service").

If you use the Service on behalf of a company or other organization, you agree to these Terms on its behalf and confirm that you have authority to do so. In that case "you" means that organization. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Base316 is a hosted platform that lets you add subscriptions, usage metering, entitlements, invoicing, payment collection, sign-in, access control and related features to your own applications. You integrate with it through our APIs and SDKs; we operate the infrastructure.

Definitions.

  • Workspace: the account under which your projects, members and subscription are organized.
  • End Users: the people and businesses who use your applications, and whose information you store or process through the Service.
  • Customer Data: all data you or your End Users submit to the Service, including End User information, usage events and records.
  • Sandbox and Production: the two environments in every project. Sandbox is for building and testing; Production is for live use.

2. Accounts

You must be at least 18 years old and able to form a binding contract to create an account. You must give accurate information and keep it current. You are responsible for everything that happens under your account and your API keys, and for keeping your password and secret keys confidential. Secret keys must never be placed in a browser, mobile app or other code your End Users can read. Tell us promptly at aisupport@thinkfleet.ai if you believe your account or keys have been compromised.

Workspace owners control their workspace, including who is a member, what each member may do, and the workspace's subscription. A subscription belongs to the workspace, not to the individual who started it.

3. Plans, fees and payment

Plans. The Service is offered on a free plan and on paid plans with the features, limits and prices described on our pricing page or in an order form. Limits are enforced by the Service; when you reach one, the relevant request is refused until you upgrade or usage resets.

Billing. Paid plans are billed in advance, monthly or annually, in US dollars, to the payment method on file, and renew automatically at the end of each billing period until cancelled. Trials, where offered, convert to a paid plan at the end of the trial unless cancelled before then. Fees exclude taxes, which you are responsible for (except taxes on our income).

Changes. You can upgrade, downgrade or cancel at any time from the billing settings in the dashboard. A cancellation takes effect at the end of the current billing period, and you keep access to paid features until then. Deleting your workspace or account cancels its subscription immediately.

Refunds. Fees are non-refundable except where the law requires otherwise or these Terms say so.

Price changes. We may change our prices. A change takes effect at your next renewal after we give you at least 30 days' notice.

Late payment. If a payment fails, we may retry it and, after notice, suspend paid features until the balance is paid.

4. Your applications and your End Users

You are responsible for your applications and for how you use the Service with them, including:

  • having a lawful basis, and any consent required, for the Customer Data you collect and process through the Service;
  • giving your End Users a privacy policy and terms that accurately describe your use of the Service. The hosted pages let you link your own;
  • the plans, prices, invoices and charges you create for your End Users, and your relationships with them, including support, refunds, disputes and chargebacks;
  • complying with laws that apply to your business, such as consumer protection, tax, export control, anti-spam, telemarketing and data protection laws;
  • configuring the Service correctly — for example, which sign-in methods, redirect addresses, roles and permissions your environments allow.

Base316 provides tools; it does not give legal, tax or accounting advice. Calculated amounts such as taxes, invoices and fees depend on the configuration you provide, and you should check that they are correct for your business.

5. Payments through Stripe

Payment collection from your End Users works by connecting your own Stripe account. You, not Base316, are the merchant of record for those payments. Funds settle directly to your Stripe account, and disputes, refunds and chargebacks are settled against your balance. Your use of Stripe is governed by Stripe's own agreements, including the Stripe Connected Account Agreement, and you authorize us to send Stripe the data needed to process your payments. Where a platform fee applies to payments, it is shown in your plan and deducted from the payment by Stripe.

6. Text messages and email

The Service can send email and text messages to your End Users on your behalf, such as verification codes and billing notices.

  • Production environments send text messages only through your own Twilio account. You are responsible for that account, for its registration and compliance with carrier requirements, and for its charges.
  • Sandbox environments may use a shared Base316 sender for testing, limited to verification codes, capped in daily volume and limited to certain countries. Use it only to test with phone numbers you own or have permission to use.
  • You must not use the Service to send marketing, promotional or unsolicited messages by text, or to send any message the recipient has not requested or agreed to receive.

Our SMS Terms apply to text messages sent through the shared sender.

7. Acceptable use

You will not, and will not allow anyone else to:

  • use the Service for anything illegal, fraudulent or deceptive, or to infringe or misappropriate anyone's rights;
  • send spam, or use the Service to inflate message traffic (for example, SMS pumping);
  • upload malware, or attempt to probe, scan or test the vulnerability of the Service, or breach its security or authentication, except under a responsible disclosure arrangement with us;
  • access another customer's data, or try to get around tenant isolation, rate limits, plan limits or any other technical restriction;
  • interfere with or overload the Service, or use it to attack others;
  • resell, sublicense or offer the Service as a standalone service to third parties, except as part of your own application;
  • reverse engineer the Service, except where the law allows it despite this restriction;
  • use the Service to build a competing product by copying its features or interface;
  • impersonate anyone, or use the hosted sign-in or branding features to imitate another organization in order to collect credentials;
  • process payment card numbers outside the payment provider's own fields, or store sensitive categories of personal information in usage events or free-form fields unless you have a lawful basis and appropriate safeguards.

8. Your data

Ownership. You keep all rights to Customer Data. You grant us a worldwide, limited license to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service for you and as described in our Privacy Policy.

Processing. For personal information in Customer Data, you are the controller and Base316 is your processor or service provider. We process it only on your instructions, as given through your use of the Service and these Terms; we do not sell it or use it for our own purposes. Enterprise customers may request a data processing agreement.

Export and deletion. You can export End User data and erase individual End Users through the dashboard and API. When you delete a workspace, we delete its Customer Data as described in our Privacy Policy, except where the law requires us to keep it.

Usage data. We may collect and use information about how the Service is used — for example, request volumes and feature usage — to operate, secure and improve it, provided we do not identify you or your End Users to anyone else.

Feedback. If you send us suggestions, we may use them without any obligation to you.

9. AI features

Some features, such as the setup assistant in the dashboard, use third-party AI models. What you enter into them, and the configuration needed to answer you, is sent to the model provider to generate a response. AI output can be wrong. The setup assistant only proposes changes, and nothing is created until you review and apply it; you are responsible for what you apply.

10. Our intellectual property

The Service, including its software, SDKs, documentation, designs and trademarks, belongs to Base316 and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Our SDKs may be distributed under their own open-source licenses, which govern your use of that code.

11. Confidentiality

Each party may receive non-public information from the other that is marked as confidential or that a reasonable person would understand to be confidential. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and not disclose it except to people who need it and are bound by similar obligations, or where the law requires disclosure.

12. Availability, support and changes

We work to keep the Service available and secure, but it is provided without a guaranteed level of uptime unless you have a separate written agreement with us that includes one. We may perform maintenance, and we will try to give advance notice of planned downtime that is likely to affect you.

We may add, change or remove features. If we remove a feature that is material to a paid plan, we will give you reasonable notice. We will give at least 90 days' notice before making a breaking change to a generally available API version, unless a change is needed sooner for security or legal reasons.

Support is available at aisupport@thinkfleet.ai.

13. Suspension and termination

You may stop using the Service and delete your account at any time.

We may suspend your access, in whole or in part, if your use breaches these Terms, creates a security risk, could harm the Service or others, or is required by law, or if your account is past due. Where reasonable, we will notify you first and give you a chance to fix the problem. We may terminate these Terms for a material breach that you do not fix within 30 days of notice, or immediately for a serious breach of Section 7.

When these Terms end, your right to use the Service stops. Before deletion, you may request an export of your Customer Data for 30 days after termination, unless we terminated for a breach of Section 7 or the law prevents it. Sections that by their nature should survive termination — including fees owed, ownership, confidentiality, disclaimers, limitation of liability, indemnity and governing law — survive.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, BASE316 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE, OR THAT CALCULATIONS SUCH AS TAXES, INVOICES, FEES OR USAGE TOTALS WILL BE CORRECT FOR YOUR BUSINESS WITHOUT YOUR REVIEW. SANDBOX ENVIRONMENTS, BETA FEATURES AND FREE PLANS ARE PROVIDED WITHOUT ANY COMMITMENT.

15. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

  • NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY;
  • EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO BASE316 FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR US $100 IF YOU HAVE PAID NOTHING.

These limits do not apply to your obligation to pay fees, to either party's indemnity obligations, to breaches of Section 7, or to liability that cannot be limited by law.

16. Indemnity

You will defend and indemnify Base316, and its members, officers and employees, against any third-party claim, and the resulting losses and reasonable costs, arising from your applications, your Customer Data, your relationships with your End Users, or your breach of these Terms or of the law.

We will defend and indemnify you against any third-party claim that the Service, as we provide it, infringes that party's intellectual property rights, and pay the resulting damages and reasonable costs finally awarded. If such a claim is made or likely, we may modify the Service to avoid it, obtain a license for you to continue using it, or end your subscription and refund any prepaid fees for the unused period. We have no obligation for claims arising from your Customer Data, your modifications, or the combination of the Service with things we did not provide.

The party seeking indemnity must promptly notify the other, let it control the defense, and cooperate reasonably.

17. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. The state and federal courts located in North Carolina have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to their jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and negotiating in good faith for at least 30 days. Either party may seek an injunction in any court of competent jurisdiction to protect its intellectual property or confidential information.

18. General

  • Changes to these Terms. We may update these Terms. We will post the new version here with a new effective date and, for material changes, notify account holders by email or in the dashboard at least 30 days before they take effect. If you continue to use the Service after a change takes effect, you accept it; if you do not agree, you may cancel before then.
  • Order forms. If you sign an order form or other written agreement with us, its terms prevail over these Terms where they conflict.
  • Assignment. You may not assign these Terms without our consent, except to a successor of your business. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, other than failures to pay.
  • Notices. We send notices to the email address on your account. Send notices to us at aisupport@thinkfleet.ai.
  • No waiver. Not enforcing a provision is not a waiver of it.
  • Severability. If a provision is unenforceable, it will be enforced to the maximum extent possible and the rest of these Terms stay in effect.
  • Independent parties. The parties are independent contractors. These Terms create no partnership, agency or employment relationship, and no third-party beneficiaries.
  • Export and sanctions. You will not use the Service in violation of US export controls or sanctions, or from a country or by a person subject to US embargo.
  • Entire agreement. These Terms, together with the Privacy Policy, the SMS Terms and any order form, are the entire agreement between the parties about the Service.
